Sales Terms



Definition of the service users.

- Head Client: holder of the Trademark that identifies the products (henceforth also the “Client”);
- Producer: web catalog user, identified by means of private access codes and by the personal e-mail address provided when forwarding the request.

 

Web catalog access.
The use of the web catalog is restricted to our Clients (Head Client) and their Producers. Access is governed by the signing of the relative management contract, which includes details of the authorized Producers. Reca Group underlines that access to the site is subject to the authorization by the Client (Head Client) that is the lawful holder of the Trademark for which the Producer intends to acquire the personalized accessories. This license may be terminated at any time following an explicit request on behalf of the Client (Head Client).

 

Every order forwarded to Reca Group must comply with the terms and conditions of sale and use reported below. We therefore invite you to read these conditions with the utmost care. Only with your express acceptance of these conditions you may be entitled to use every part of the catalog and perform any form of commercial transaction.

  

Reca Group undertakes to do its best to ensure that access to the site is uninterrupted and that transmissions take place without any errors. However, due to the very nature of Internet, access interruptions and total lack of transmission errors cannot be guaranteed. The user is therefore required to ensure that the order has been actually received. The access may also be temporarily suspended or limited in order to enable repair and maintenance procedures, or in order to introduce new activities or services.

 

Limitations to the usage license. 
By providing you with an access key to the web catalog, Reca Group grants you usage which is limited to the forwarding of orders and only for the time strictly necessary. This usage right does not include the right to collect or use information, prices or photos for commercial use or to the advantage of other sellers.
Reca Group takes no responsibility for improper use of the tool or for any fraudulent use of the Trademark on behalf of the Producers authorized by the Head Client, including the use of information and photographs of the personalized articles bearing the Client's (Head Client's) Trademark. As a way of protecting the Client's (Head Client's) Trademark, the possibility of verifying the correctness of the requests made by one's Producers may be in any case guaranteed through the "Order Status" menu.

 

How to create and transmit a request.
Your requests will necessarily be forwarded in an electronic format in compliance with these contractual prescriptions and the automatic procedures suggested by our web catalog. 
As soon as you have entered your request, the receipt procedure automatically sends a return e-mail confirming order receipt. This does not however constitute acceptance of your request, but only confirmation that it has been received, that it will be duly subjected to data verification procedures and that the availability of the articles indicated will be checked. We will effectively confirm your request ideally within 24 hours, by sending our order confirmation through e-mail. Our confirmation will match the request sent by you, including any changes agreed with the Head Client. The order confirmation will report the date of goods availability and all valid sales terms and conditions for the supply. You may cancel your request only after having received our confirmation e-mail (in which case no cost shall be charged to you). For any other requirements, you are invited to contact our Customer Service directly. 
Reca Group further underlines that it is your responsibility to verify the correctness of your company data indicated on the order confirmation and requires you to report any errors. 
All documents generated for your company will be immediately available on the "Your Account" page. The shipment number (carrier document) used to send goods - if an express courier service is to be used - will be reported in the notes of the invoice issued to you.

 

Delivery times.
Goods are expected to be shipped within 2 working days, starting from the date shown on the order confirmation forwarded by Reca. Where advance payment is required, you should consider 2 working days from the receipt of payment confirmation by our bank (you should consider that international banking operations will require approx. 3/4 days). It is understood that these times are purely indicative and subject to variation during periods when a high number of requests is received or for reasons of force majeure.

 

Minimum packaging standards.
All the requests are subjected to the correct application of the minimum packaging standards agreed with the Head Client. The packaging available for each single article is clearly indicated at the time of your request.

 

Minimum invoice amounts.
Any request you should forward must meet our minimum invoice amounts. This minimum invoice amount will be made clear when you make your request. The minimum sum is due and is in any case charged to the Client (Head Client or Producer), who is required to pay it.

 

Delivery terms.
All of our accessories are sold based on Ex Works delivery terms. All the goods are therefore prepared at your disposal for collection at our warehouses. Collection must be carried out by the Client (Head Client or Producer) or by a courier entrusted by the same. All transport, customs and insurance costs and all related risks are therefore entirely borne by the final Client (Producer or Head Client). The Client is required to indicate how it intends to collect the goods at the time of transmitting its order. 
The warehouses where goods may be collected are located at our branches in Carpi (MO, Italy) and Hong Kong. Not all articles are available in both warehouses, and the availability is agreed between Reca Group and the Head Client. This information is clearly provided when you make your request.

Payment terms and methods.
Payment terms are agreed with the Head Client. Reca Group reserves the right to modify these conditions of payment when faced with unsettled or delayed payments or on the basis of special conditions directly agreed with the Producer or the Head Client. The payment indications reported in the order confirmation received at the time of order confirmation shall be considered binding. 

We would like to remind you that Reca Group is only accountable for its own bank's expenses. All banking costs relating to transactions between intermediating banks are charged to the Client (Head Client or Producer). All incorrectly performed transactions shall be recorded and communicated to the Client along with a request for immediate payment of the invoice.

 

Changes to the service or to the conditions. 
We reserve the right to modify our web catalog, its policies and these conditions of use and sale at any time. You will in any case be subject to the conditions currently in force at the time you use the web catalog. These conditions can be verified by you and are confirmed every time you access the site.

 

Electronic communications.
All communications concerning requests transmitted through our web catalog are electronic. For the purpose of this contract, you accept receipt of electronic messages on our behalf and acknowledge that all contracts, documents, notifications and any other communication that we send you in an electronic form may be considered as communicated in writing.

  

Protection of company secrets.
The data and information concerning the activities (including commercial procedures) and/or the Products manufactured by Reca, that you may become privy to in accessing the web catalog, represent confidential company information or even secret information where the conditions prescribed by articles 98 and 99 of the Code of Civil Procedure apply; as such, they should not be divulged without our authorisation to anyone else and least of all to Reca competitors and/or, in any case, to subject other than those authorized to access the web catalog by the Head Client.

 

Applicable law and language.
For all that is not expressly governed by these general sales conditions or in the single sales contracts Italian law on such matters shall apply. Any controversies that might arise regarding the application of the general sales conditions or the interpretation of the single contracts are regulated by Italian law and subject to Italian jurisdiction.

The language that governs these general sales conditions is the Italian language, regardless of any translation into other languages. In the event of discrepancies between the Italian and any translated text, the parties agree that the Italian text shall prevail and will be taken as the official document for the interpretation of these sale conditions.

 

Place of Jurisdiction.
All controversies that may arise regarding these general sales conditions and/or the individual sales contracts, including those concerning the validity, interpretation, execution and termination, shall be exclusively referred to the Carpi Division of the Court of Modena, Italy.
